End-User License Agreement (EULA) for MetaScope

1. Grant of License

Zalo Design Studio grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Software solely for your personal and commercial purposes, provided that the license is limited to one (1) user and for installation and use on a single device only, strictly in accordance with the terms of this EULA and Apple's Usage Rules.

2. Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Software or make the Software available to any third party, except as explicitly permitted for your own personal or commercial use on a single device by one user as per Section 1.
• Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Software.
• Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of Zalo Design Studio or its affiliates, partners, suppliers or the licensors of the Software.

3. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights, are and shall remain the sole and exclusive property of Zalo Design Studio.

This includes, but is not limited to:

• The original code, algorithms, and architecture of the Software.
• All graphic design elements, user interfaces, and visual components.
• Any and all content, documentation, tutorials, and accompanying materials provided with the Software.
• All trademarks, service marks, logos, and trade names associated with the Software, including "MetaScope for macOS" and "Zalo Design Studio".
• Any modifications, enhancements, improvements, or derivative works of the Software, whether created by Zalo Design Studio or by you (even if permitted by this EULA, ownership of such derivatives shall vest solely with Zalo Design Studio).
• Any feedback, suggestions, or ideas provided by you regarding the Software shall become the property of Zalo Design Studio and may be used for any purpose without compensation or attribution to you.

You acknowledge that you are granted only a limited license to use the Software and that no ownership rights are transferred to you under this EULA. All rights not expressly granted herein are reserved by Zalo Design Studio.

4. Termination

This EULA is effective until terminated by you or Zalo Design Studio. Your rights under this EULA will terminate automatically without notice from Zalo Design Studio if you fail to comply with any term(s) of this EULA. You may also terminate this EULA by deleting the Software and all copies thereof from your device.

Upon termination of this EULA, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.

5. No Warranties

The Software is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Zalo Design Studio, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

6. Limitation of Liability

Notwithstanding any damages that you might incur, the entire liability of Zalo Design Studio and any of its suppliers under any provision of this EULA and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software.

To the maximum extent permitted by applicable law, in no event shall Zalo Design Studio or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the Software, third-party software and/or third-party hardware used with the Software, or otherwise in connection with any provision of this EULA), even if Zalo Design Studio or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose. Zalo Design Studio accepts no liability.

7. Third-Party Licenses

This application utilizes certain third-party software components, each subject to its own license terms. Your use of the Software is also subject to your compliance with these third-party licenses.

8. Apple Device and App Store Terms

You acknowledge and agree that your use of the Software must comply with the Apple Media Services Terms and Conditions, including the Usage Rules, which are incorporated herein by reference.

You acknowledge that this EULA is concluded between you and Zalo Design Studio only, and not with Apple, Inc. ("Apple"). Zalo Design Studio, not Apple, is solely responsible for the Software and the content thereof.

Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Software.

9. Privacy Policy

Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. You can review our Privacy Policy at: MetaScope Privacy Policy

10. Governing Law

The laws of the Netherlands shall govern this EULA and your use of the Software. Your use of the Software may also be subject to other local, state, national, or international laws.

11. Entire Agreement

This EULA constitutes the entire agreement between you and Zalo Design Studio regarding your use of the Software and supersedes all prior and contemporaneous written or oral agreements between you and Zalo Design Studio.
